Nominations for candidacy of the Independent Board of Directors? membership of APM Terminals Bahrain B.S.C.

Further to the announcement on November 22, 2018, issued by APM Terminals Bahrain B.S.C. (the “Company”) with regards to the nominations for the candidacy of the Company’s Board of Directors for a three-year term (2018-2021), please find below the final list of the candidates for the Independent Directors, based on the nominations received by us. The election will be carried out during the Constitutive General Meeting that is scheduled to be held on Thursday, 13th December 2018.

Khalid Abdulaziz Alhoshan- Saudi- Independent Director

Mr. Khalid Abdulaziz Alhoshan is the Group internal audit manager of Safari Holding Company since May 2018. Prior to that, Mr. Alhoshan has been audit committee secretary for Al-Ahlia for Cooperative Insurance Company since February 2017 until May 2018 and head of internal audit of Al-Ahlia for Cooperative Insurance Company since September 2016 until May 2018. He has been Audit and Compliance Officer of General Organization for Social Insurance since June 2011 to August 2016. Mr. Alhoshan holds a Bachelor’s degree in law from King Saud University; a Master of Business Administration from University of Newcastle, Australia; a Master of Applied Finance from University of Newcastle, Australia; a Graduation certificate in International Business from University of Newcastle, Australia and a certified internal auditor (CIA) part 1 & 2.

He also holds membership in Auditing Standards Committee member at Saudi Organization for Certified Public Accountants (SOCPA) and Audit Committee member at Ash-Sharqiyah Development company.

Khaled Abdulsamad Abdulrahim Sadri- Bahraini- Independent Director

Mr. Khaled Abdulsamad Abdulrahim Sadri has been the CEO of family owned business of Sadary Business Group since 1985. In 2004, he became the partner/co-founder of K&O Business Group. He has also actively been an associate professor at AMA International University from 2003 until 2013 and currently at University of Bahrain. He is also a consultant with SME. Mr. Sadri holds a MBA degree from University of Glamorgan- Wales, a diploma in business administration from University of Bahrain, a certification in CMI Level 7- BIBF.

Mohamed Bin Ebrahim Juma Alshroogi- Bahraini- Independent Director

Mr. Al Shroogi has more than 40 years of experience across the Middle East and North Africa, spanning key regulators, central banks, financial institutions, corporate individuals and senior government officials. Mr. Alshroogi was appointed the Co-Chief Executive Officer of Investcorp in 2015. Mr. Alshroogi joined Investcorp in 2009 as President of the Firm’s Gulf business. Prior to joining Investcorp, Mr. Alshroogi was Division Executive for the Middle East and North Africa region and CEO for the United Arab Emirates at Citigroup. In addition to being Co-Chief Executive Officer of Investcorp, he currently serves as Chairman of L’azurde Company for Jewelry, a Saudi Joint Stock Company; Chairman of GCC Board of Directors Institute (BDI); Member of the Board of Trustees for Bahrain Centre for Studies & Research; Member of National U.S. – Arab Chamber of Commerce, Washington D.C.; Member of the Board of Injaz Al Arab; and Member of Board of the Crown Prince’s International Scholarship Program (CPISP).

Mr. Alshroogi has been a member of the Bahrain Shura Council, Member of the Board of Trustees at Bahrain University and a member of the Bahrain Economic Development Board, as well as serving as Chairman of Investcorp Saudi Arabia Financial Investments Company. He holds a BA in Commerce from Kuwait University and has attended the Harvard Management Executive Program.

Anshul Rai- Indian- Independent Director

Mr. Rai is the Co-founder and Chief Investment Officer of Axius Capital. He has over twenty years’ experience in infrastructure across emerging markets, a majority of which has been in the MENA region. He specialises in channelling institutional capital into infrastructure through capital markets and serves as the Founder CEO of the Nigeria Infrastructure Debt Fund, the first and only listed infrastructure debt fund anywhere in MEA region.

Previously, Mr. Rai has worked at the International Finance Corporation based out of Washington DC. He was part of IFC’s Global Infrastructure team responsible for business development, transaction execution and portfolio management for the utilities sectors, including water, wastewater, and waste management. From 2006 to 2011, Mr. Rai was the fund manager for the MENA Infrastructure Fund. Mr. Rai holds a Bachelor’s degree in Chemical Engineering and has an MBA in Finance. 

Mr. Rai currently serves as a member of the Board and the Board audit committee for Dhofar Generating Company SAOG, Oman. Between 2008 and 2011, Mr. Rai served on the Board of Directors of Alexandria International Container Terminals Co., Egypt. As a Board of Directors, he was involved in setting the strategic direction for the business, budgeting and monitoring processes, capital expenditure, financing, review of operational policies and development of expansion plans. He was also a non-executive Board member of United Power Company SAOG, Oman and served on its audit committee as well.

Nadhem Saleh Al-Saleh- Bahraini- Independent Director

Dr. Al Saleh is currently a faculty member of College of Business Administration and Dean of Scientific Research at University of Bahrain. Prior to this, Dr. Al Saleh was a Vice President for scientific research at University of Bahrain from January 2010 to October 2013; Director of Continuing Management Education Program, College of Business Administration at University of Bahrain from September 2005 to April 2008; Chairman of Department of Economics & Finance, College of Business Administration at University of Bahrain from August 2000 to September 2005 and various other professional positions at University of Bahrain. Dr. Al Saleh holds a directorship at Solidarity General Takaful (SGT). He is also a leader of strategic initiatives places at University of Bahrain. In addition, he is a founding member of the association of Arab Human Resource Development and Arab Association of Future Studies and an active member of various committees. Besides he has been a member of various committees including being the Chairman of committee to draft the by-laws for the Center for Applied Science and Technology – College of Science.

Dr. Al Saleh holds a Ph.D. in Finance from Brunel University; Master of Business Administration (MBA) from Indiana University of Pennsylvania and Bachelor of Petroleum Engineering from University of Baghdad.

Layla Abdulrahman Alsamerrai- Bahraini- Non-Independent Director

Mrs. Layla Alsamerrai is an HR professional having over 30 years' experience in HR development and management across various sectors and industries in Bahrain ranging from hospitality and tourism, to telecommunications and logistics.

Mrs. Alsamerrai played key roles in setting up and managing the HR function at three major start up projects in Bahrain for local, regional, and multinational companies, such as Novotel Al Dana Resort, MTC Vodafone (currently Zain Bahrain), and lastly at APM Terminals Bahrain. While in her capacity as the Project Coordinator for the 'Women Political Empowerment Program' she worked on the development and implementation of the program's operational plans in line with the Supreme Council for Women directives.

Her key qualifications and skills could be summed up as HR business partnership involving strategic and operational planning, labour relations, HR processes and communication, health and safety, relationship management, and compliance. Mrs. Alsamerrai holds an Executive Management Diploma from the University of Bahrain.

Mr. Mohammad Anwar Shaikh Abdulqadeer Shaikh – Bahraini- Independent Director

Mr. Shaikh has 28 years of experience in Hotel Management. He joined Hilton International Bahrain as Management Trainee and worked all the way to Room Division Manager looking after 5 departments which included day to day business planning, revenue management and training and development of staff. He also has 5 years of experience in aviation industry as Human Resource Director, worked in Gulf Air sister company SR Technics (a start-up company) as Director of Human Resources and Finance. In addition, Mr. Shaikh has 7 years’ experience as Director of Human Resources in Bahrain Airport Company Facility Management previously known as Hochtief Facility Management a Joint Venture of Bahrain Airport Company. Mr. Shaikh was a Board of Director at Bahrain Society for Training and Development from 2016 to 2018.

Mr. Shaikh holds a Bachelor Degree in Science and Diploma in Human Resources Management from Career Development Institution, New York.

Khalil Ebrahim Nooruddin Nooruddin- Bahraini- Independent Director

Mr. Khalil Ebrahim Nooruddin Nooruddin is an Investment Banker with 35 years extensive executive and board level experience, gained by serving regional and international investment banking firms. He is currently the Managing Partner of Capital Knowledge since April 2007. Prior to that, Mr. Nooruddin has been an interim CEO & Board of Director of Bank Alkhair, Bahrain (June 2012-May 2013). He has also been the GM & member of Board of Bahrain Institution for Banking & Finance (BIBF), Bahrain (November 2002- March 2007). Prior to that he worked for several reputable institutions, including Investcorp Bank, UBS Asset Management (London and Zurich) and Chase Manhattan Bank (Bahrain). Mr. Nooruddin is also a member of Board of Bahrain Islamic Bank, Bahrain (a public listed company in Bahrain); RA Holding Corporation, Cayman/UK/Bahrain.

Mr. Nooruddin is a Chartered Financial Analyst (CFA), holds a Master of Science Degree in Quantitative Analysis from Stern Business School, New York University and a Bachelor of Science degree in systems engineering from the University of Petroleum and Minerals, Saudi Arabia.

Abdualla Mubarak Al Mansoori- Bahraini- Independent Director

Mr. Mansoori was in the maintenance and logistic department in Bahrain Defence Force from 1981 to 2014. Prior to that, Mr. Mansoori worked with Ministry of Works, Power and Water from 1977 to 1981. He holds a Bachelor degree from Bahrain University.

Mr. Mansoori holds certificates on A.S Army Security Assistance Supply Management Course; combined logistics officer advanced course; information technology diploma in data communication and local area network; high diploma in engineering management.

Jasim Sayed Mohamed Habib Ebrahim Al Moosawi- Bahraini- Independent Director

Mr. Moosawi is currently the CEO and Chairman of Al Fateh Group. Mr. Mooswai is also a Founder and CEO of Interceptor Holding Company. He holds executive positions at various Al Fateh Group companies.

Mr. Moosawi is a member of Board of Berger paints, Bahrain. He is also a General Secretary and member of Board of Bahrain Customs Clearing Agents Society. He holds a MBA degree from University of State of New York; Bachelor of Science in Business Informatics and High Diploma of Business Administration.
