Board of Directors Nomination Announcement

APM Terminals Bahrain B.S.C would like to announce the opening of the election for candidacy of Board of Directors membership for a three-year term (2022 - 2025). The election process will be carried out for two Independent Director seats during the Annual General Meeting 30 March 2022.

Conditions for nomination:

1. He must be fully qualified to act
2. He must not have been convicted in a crime involving negligent or fraudulent bankruptcy or a crime affecting his honor or involving a breach of trust or in a crime on account of his breach of the provisions of this law, unless he was reinstated.
3. He shall not be prohibited from being a member in the Board of Directors of a joint stock company in accordance with the provisions of this law or any other laws enforced in the Kingdom of Bahrain.
4. With respect to the board’s chairman or the deputy chairman positions, the candidate must not hold any of the aforementioned positions simultaneously with the position of the CEO of the company or its equivalents.
5. Any other condition, which may be specified in the Company's Memorandum or Articles of Association.

Required Documents:

1. Curriculum vitae, including academic and professional qualifications
2. Any act that he performs directly or indirectly, that amounts to competition with the company
3. Names of companies and entities in which he works or is a member of their boards of directors
4. Any position he occupies that requires more than a small part of his time

Every candidate wishing to nominate himself/herself or a representative is invited to furnish the Company with all required documents mentioned in this announcement either by submitting by hand or via renowned international courier service to be delivered to the Company’s address (Khalifa Bin Salman Port, Administration Building, Avenue 13, Block 115, Hidd, Kingdom of Bahrain). Such documents need to be provided to the Company no later than (7^th March 2022).

The Candidates’ names and relevant information will be disclosed on the Bahrain Bourse’s and Company’s website, simultaneously with the publication of the general meeting agenda.

إعلان بشأن الترشيح لعضوية مجلس الإدارة

تعلن شركة إيه بي إم تيرمينالز البحرين ش.م.ب عن فتح باب الترشح لانتخاب أعضاء مجلس إدارة الشركة لفترة ثلاثة أعوام (من 2022 إلى 2025). و ستجرى العملية ال نتخابية لمقعدين للمديرين المستقلين خلال ال جتماع السنوي العام بتاريخ 30 مارس 2022 .
الشروط الواجب توافرها في المرشحين:

1- أن يكون متمتع ا بأهلية التصرف.
2- ألا يكون قد سبق الحكم عليه في جريمة تفالس بالتقصير أو بالتدليس أو جريمة مخلة بالشرف أو الأمانة أو
في جريمة بسبب مخالفته لأحكام القانون ما لم يكن قد رد إليه اعتباره.
3- ألا يكون محظورا عليه تولي عضوية مجلس إدارة شركة مساهمه وفقا لأحكام أي قانون معمول به في المملكة .
4- بالنسبة لرئيس مجلس الدارة أو نائبه، ألا يجمع بين هذا المنصب ومنصب المدير الأعلى رتبة في الشركة .
5- أي شروط أخرى ينص عليها عقد تأسيس الشركة أو نظامها الأساسي .
المستندات والمعلومات المطلوبة :

1- السيرة الذاتية، بما في ذلك المؤهلات الأكاديمية والمهنية .
2- أي عمل يقوم به بصورة مباشرة أو غير مباشرة يشكل منافسة للشركة .
3- أسماء الشركات والجهات التي يزاول العمل فيها أو يشغل عضوية مجالس إداراتها.
4- أي منصب يشغله يتطلب جزء غير يسير من الوقت .

على الراغبين في ترشيح انفسهم او ترشيح من يمثلهم لعضوية مجلس الدارة للفترة القادمة الحرص على تزويدنا بجميع المعلومات المطلوبة والواردة في هذا العلان، إما بتسلميها باليد أو بواسطة شركة شحن دولية معتمدة على عنوان الشركة (ميناء خليفة بن سلمان، المبنى الداري، طريق رقم 13 ، مجمع 115 ، الحد، مملكة البحرين). هذه المعلومات يجب تزويدها للشركة بتاريخ أقصاه (2022 March 7th) .

سيتم نشر أسماء المرشحين وبياناتهم الخاصة على الموقع اللكتروني لبورصة البحرين وعلى موقع الشركة، وذلك وذلك بالتزامن مع تاريخ نشر الدعوة لعقد اجتماع الجمعية العامة.
